Is not an indication of where we stand on the fence discussions but if we all contribute to the fence for the terraced units will the cost of fencing for the M units also be included in the total to be shared? Regds roz and michael

Hi team: I'm very cautious about the suggestion that we use a vehicle such as an incorporated society and/ or a charitable trust to fund the restoration of a) the memorial arch and fence and b) the remainder of the fence in front of houses with entrances on Alva and Hight Streets. My caution comes from changes to the requirements for Incorporated societies in recent years and also the tightening up of what is a 'genuine charitable cause', meaning the provision of a good that benefits or could benefit most people in the community. I'm attaching the amendments made at the AGM of one of my professional bodies that was formed as an Incorporated Society more than 20 years ago. These amendments were suggested by the IRD and make it clear that individuals cannot benefit from the funds of the Society. As fences are attached to properties that increase in value and benefit their owners, its my belief that this would be a bar we could not cross. I will also bring a column from last weeks 'sharp as Tax' column in the ODT around Charitable Trusts to the meeting, which further underscores these changes. I'm convinced that in the interim, we need to find a way to finance the fences on High and Alva street ( part b) ourselves. While this affects everyone but the D Units with entrances off the common, I believe we all have to share these costs. _BODY CORPORATE GROUP REPORT - 20th February 2020_ In January this year, Claire Loftus offered her proofreading and editing skills to get our Draft Body Corporate Rules document into a consistent format. This month, the document was returned to me with the full glory of "track changes", and lots of Claire's very useful comments. On the 9th of February, Gay, Warren and Min met to read through all the 'track changes' and comments, and eventually agreed on a copy to be sent out to the rest of the UCOL shareholders. The Ucol Body Corporate Rules v.5.5 is attached to this report as a PDF. Anyone who wants the Word document, email me for a copy. A few Definitions used in this document: 1. The Ucol build is a *Unit Title Development*, and subject to the Unit Titles Act 2010 2. *Owner* means the people who's names are on the purchase agreements. 3. *Occupier* means anyone living in one of the units, including children, tenants, etc 4. A *Tenant* issomeone who rents a home from a landlord and is named on a signed tenancy agreement. Tenants are covered by the Residential Tenancies Act 1986 5. A Flatmate lives in the rental property, but is not named in the tenancy agreement 6. A *Boarder *is someone who lives in the home with the owner. 7. Flatmates & Boarders are not covered by the Residential Tenancies Act, but they are both still *Occupiers*. They have to obey the Rules, but should they have voting rights in the group when they are not required to attend meetings? Items in the BC Rules that need another Discussion Workshop 1. _Shared Meals_ (25) - We have had one workshop discussing shared meals. However, when Gay, Warren & Min went through this document, we could agree on only three things (see 25). So it may be advisable to have another workshop for open discussion and brainstorming on Shared Meals before we can progress to formulating operating rules. 2. _Procedure to Amend the Rules (29.e)_. We need to agree who forms part of the "Group" in the Group Decision Making Process. Whose colour card vote must be counted as part of the 75% quorum required to amend the Rules? Definitely the owners and tenants as defined above. But what about other non-owner, non-tenant occupiers. What about children, flatmates and boarders. Note that they are all also subject to these Rules. NEXT WORKSHOP. The February Body Corp Discussion workshop was originally scheduled for this weekend, but it was cancelled as I was busy and could not host it. The next Body Corp Workshop should be either on the 21st or 22nd of March. I am away in April, and prefer not to organize anything for that month, so I strongly recommend we have a the Workshop in March to discuss the above two items, or else postpone discussion until May 2020 Regards Min

Please send me additional agenda items and apologies. *Change of venue: Number Works n Words **90 Crawford Street.* Last meeting we received a report from Rosemary about the heritage fence and associated works. She recommended setting up an Incorporated Society (or we could set up a trust), to advance the work, and with some independence from UCOL may have some more success in raising funds. The sticking point for this is likely a small core group of (3?) people who will be officers of the new entity. As well as the administration to establish the entitiy, they would arrange the work required in conjunction with S&W and other contractors we have been talking to, and do fundarising. The over all cost of work will likely exceed $10,000 of unbugeted funds. And there will be extra administration costs on top if we get our consultants to do work that we would otherwise do as voluntary. These funds will either be an extra charge on shareholders, or at least reduce the amount we have to put towards a kitchen. The sticking point as I see it is getting volunteers to run the venture. Please think about (and email) if you are willing to do this. It is possible to do it with or without such an arrangement, so it is a tradeoff between volunteer time and cost. Site meeting

Hi all A very short site meeting today, mainly because everything seems to run smoothly! Still lots of workers on site. Alva Street: the last gable, and in fact the last SIP is up! High Street: the first units are being lined inside! The first 4 units have an undercoat on the outside, and in fact the first brush stokes of the topcoat were applied this morning. The scaffolding for the first 4 units is expected to come down mid March. Stefan told me after the meeting that he is very happy with the progress, especially since the programme on the much bigger more complex high street block is well advanced. Fence and memorial arch restoration report

Re search for an umbrella trust: After chasing another fat rabbit up a blind alley only to have it evaporate, I am recommending establishing an incorporated society to apply for funding for the fence. Above is a guide doing this, or at least making a good start on it before getting a lawyer involved. I hope the main challenge won’t be finding people willing to be officers… This will unlock funding from Otago Community Trust and Lotteries Board. I have no opinion on whether it should (or can) be registered for GST. It can have a termination clause and be wound up when the work is complete. 2. Zeal Steel reports the work on the first section of fence is going to schedule. Also that apart from white paint, some specks of green showed up in sand blasting, so I think we’re on safe grounds asking for it to be painted green. 3. Further recommendation is that a fund application go in to the DCC Heritage Fund for the end of April round, asking for 80% of the costs of refurbishing the arch and attached stretch of fence that is ‘non-domestic’. Andrea Farminer says this will be treated as a quite separate project. While we have only a n estimate, not a quote for that work, it sounds like around $10,000 + GST. So the target for public fundraising would be at least $2000. I don’t think that’s an unreasonable amount to find from the wider community and I’m making a target list of people we might approach to sponsor a name on the memorial. 4. I recommend UCOL members also think about fundraising for the domestic aspect of the fence, most especially the gateways. Warren has sent some ideas for discussion. I don’t think they included working at the stadium. Some of my whanau have just done it for both the Elton John and Queen concerts and said it was quite fun. Paid at $18 hour. Dunedin Venues in partnership with Red Badge Group can now offer opportunities for committed groups to fundraise while helping to provide awesome experiences at Forsyth Barr Stadium. Working as part of our Awesome Events service, groups including schools, service clubs and community groups are able to work in roles such as ticketing and ushering at some of New Zealand's greatest events. Everyone involved will be required to complete a Stadium induction which covers areas including expectations, Customer Service, Ticketing and Event Safety.
